Terms of Service

DRAFT — These terms are a working draft and will be finalized with counsel before general availability. For current pilot engagements, the executed NDA and engagement letter control.

1. The service

CxCommand provides AI-assisted schedule intelligence for commissioning and project controls teams. The service ingests Primavera P6 schedules and provides Customer authorized users with access to a private web-based workspace where they may submit plain-language questions and receive generated answers with citations back to the source schedule. CxCommand is a product of SDO Enterprises LLC, a California limited liability company ("we," "us").

2. NDA-first data handling

Every engagement operates under a mutual non-disclosure agreement. Your schedule files, correspondence, and derived analysis are treated as Confidential Information. We do not disclose, publish, or share your schedule data with any third party except as necessary to deliver the service, and then only under terms consistent with our NDA obligations to you.

Your schedule data is never used to train, fine-tune, or otherwise improve any machine learning model. See our Privacy Policy for retention and subprocessor details.

3. Pilot phase — no warranty

CxCommand is currently offered in a pilot phase. The service is provided "AS IS" and "AS AVAILABLE," without any warranty of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

Written analysis produced by CxCommand is a decision-support aid, not a substitute for the professional judgment of a licensed construction manager, scheduler, or engineer. You remain solely responsible for all project decisions.

4. Limitation of liability

To the maximum extent permitted by law, neither SDO Enterprises LLC nor any of its members, managers, employees, or contractors will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the service. Our aggregate liability for any claim arising out of or relating to the service will not exceed the fees paid to us for the engagement giving rise to the claim.

5. Acceptable use

You agree not to use the service to violate any law, infringe any third party's rights, or attempt to reverse engineer, decompile, or extract the underlying models or prompts powering the service.

6. Term and termination

Either party may terminate an engagement at any time, for any reason, with written notice. Upon termination, we will delete your schedule data in accordance with our Privacy Policy. Sections 2 (NDA), 3 (No Warranty), 4 (Liability), and 7 (Governing Law) survive termination.

7. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

8. Changes

We may update these terms from time to time. Material changes will be communicated to active engagements in writing before taking effect.
